Grayscale Files an S-1 for a Spot Canton Coin ETF on NYSE Arca
The filing names BitGo as custodian and a CoinDesk benchmark for pricing, leaves the fee and ticker blank, and lists risks including 13 Super Validators and concentrated CC holdings.
Grayscale filed a registration statement on Form S-1 with the US Securities and Exchange Commission on 5 June 2026 for the Grayscale Canton ETF, a trust that would hold Canton Coin (CC) directly. It is the trust's only filing on EDGAR so far, and the registration is not yet effective.
What the filing says
- Structure. The Grayscale Canton ETF is a Delaware statutory trust whose purpose is to hold CC. Its sponsor is Grayscale Investments Sponsors, LLC.
- Listing. The trust intends to list its shares on NYSE Arca under the exchange's generic listing standards for commodity-based trust shares. The ticker is left blank.
- Service providers. BitGo Bank and Trust is named as custodian, CSC Delaware Trust Company as trustee, and The Bank of New York Mellon as transfer agent and administrator.
- Pricing. The trust's index price is based on the CoinDesk Canton Coin Benchmark Extended Rate, taken at 4:00 pm New York time.
- Fee. The sponsor's fee is expected to be the trust's only ordinary recurring expense, but the rate is blank in this filing.
- No staking. The S-1 describes no staking programme for the trust.
The risk factors
The filing describes Canton's consensus model as "proof-of-stakeholder" and says it has not been tested at scale for as long as older blockchains. It states that the network had 13 Super Validators as of 30 April 2026, calling the set comparatively limited. That count differs from figures in other places, such as Visa's March statement that it is one of 40 Super Validators; the S-1 does not explain how it counts.
The S-1 also states that, as of the filing date, the largest 100 CC wallets held approximately 89% of the CC in circulation, and that other holders may control several wallets.
The wider field
The filing follows a run of Canton Coin products. In the US, 21Shares' Canton Network ETF began trading on Nasdaq on 7 May 2026 as a 1940 Act fund that holds CC partly through a Cayman subsidiary. REX-Osprey filed for a Canton Coin ETF in December 2025. Grayscale's product would instead be a spot trust holding CC directly.
Why it matters
Grayscale is a major US issuer of crypto exchange-traded products, and a spot CC trust would give a mainstream route into the token. The filing is a first step: the fee, ticker and approval are all still open. Its risk factors, especially the concentration figure, are also a rare formal disclosure about how CC is held.
